N. Chandrasekaran, the man who has steered the $165-billion Tata Group since 2017, announced on Wednesday that he will not seek reappointment as Chairman of Tata Sons when his current term ends on February 20, 2027, bringing to a close one of the most consequential tenures in the conglomerate's history.

Tata Sons is the holding company of the Tata Group and oversees more than 30 companies, including Tata Consultancy Services (TCS), Tata Motors and Air India. Tata Trusts, the group’s philanthropic arm, owns a 66 percent stake in Tata Sons and has outsized control over the group's leadership decisions.

In February, Tata Sons postponed a decision on extending Chandrasekaran’s tenure after Noel Tata opposed the move, Reuters reported at the time. Noel Tata had sought several conditions, including a commitment that Tata Sons would never be listed. Chandrasekaran was unwilling to make such a commitment, the source said.

The two sides have also reportedly clashed over board representation and the terms of minority shareholder Shapoorji Pallonji's exit from the group, a dispute that earlier led to the removal of another Tata Sons director.

What This Means for Tata Motors, TCS and Air India

Tata Sons did not immediately respond to a Reuters request for comment, while Chandrasekaran could not be reached for comment.

Chandrasekaran joined the Tata Group in 1987 and became CEO of TCS in 2009. He was appointed as the chairman of Tata Sons in February 2017 – the first person from outside the Tata family to hold the post. His second 5-year tenure will come to an end on February 20, 2027, bringing a a close to one of the most consequential tenures in the conglomerate's history. Under his leadership, the group expanded into semiconductors, electric vehicles and aviation, while navigating the Air India revival and recent turbulence at Jaguar Land Rover.

The leadership uncertainty comes as the Tata Group faces challenges across several businesses. Reuters has reported that Air India has come under regulatory scrutiny following a fatal crash, while TCS has faced pricing pressure. Jaguar Land Rover (JLR) has also been dealing with the impact of a cyberattack that disrupted production and affected Britain's economic output.

 Shareholders had been scheduled to vote on his reappointment as a Tata Sons director at the company's August 18 AGM. With his exit now confirmed, attention turns to who the Board will name as his successor.

Official statement from N Chandrasekaran 

In an official letter, Chandrasekaran laid out the sequence of events behind his decision. He said, “I have completed 40 years of professional life at the Tata Group. I am grateful for the immensely satisfying opportunity to contribute to this venerable institution. Leading Tata Sons over the past decade has been a great honour and a profound responsibility. My current tenure as the Chairman of Tata Sons comes to an end on Feb 20, 2027. 

Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously resolved and recommended the extension of my next term for a period of five years, which was recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the Board. Subsequently, the resolution was tabled in the Tata Sons Board on Feb 24, 2026. However, the proposal was not carried through because one of the Board Members did not support it, and in the absence of unanimous support, I chose to defer the decision. It has been 6 months since that Board meeting, and no resolution has been reached till date. 

Tata Sons is a very large institution and there are many strategic projects that are under critical stages of execution. It is not only necessary to have a leader in place to lead the Group beyond Feb 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders. Under these circumstances, earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on Feb 20, 2027. I have asked the Board to decide on the succession soon to ensure a proper transition. I am grateful for the support of all stakeholders.
